Welcome to Humbear Media LLC (“Humbear Media,” “Company,” “we,” “us,” or “our”). By accessing or using our website, software, platforms, or services (collectively, the “Services”), you agree to be legally bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
“Services” means all software, CRM tools, messaging systems, automation workflows, analytics, advertising services, AI-assisted tools, integrations, and related offerings provided by Humbear Media.
“User,” “you,” or “your” means any individual or entity accessing or using the Services.
“Protected Health Information” or “PHI” has the meaning set forth under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).
By accessing or using the Services, you represent that you are at least 18 years of age and have the authority to bind the entity you represent. Your continued use of the Services constitutes acceptance of these Terms and any future updates.
Humbear Media provides marketing technology and CRM-based tools, which may include but are not limited to:
SMS and email messaging systems
Workflow and automation tools
Lead management and follow-up systems
Analytics, tracking, and reporting tools
AI-assisted messaging and engagement tools
Advertising, campaign management, and integrations with third-party platforms
Humbear Media does not provide medical, legal, or clinical advice. All Services are provided for operational, marketing, and administrative purposes only.
You agree that you are solely responsible for:
Maintaining the confidentiality and security of your account credentials
All activities conducted through your account
Ensuring compliance with all applicable laws and regulations, including but not limited to HIPAA, TCPA, CAN-SPAM, state privacy laws, advertising regulations, and platform-specific policies
Obtaining all required consents for SMS, email, tracking, cookies, and communications
You acknowledge that compliance is a shared responsibility, and improper configuration or misuse of the Services is solely your responsibility.
You may not use the Services to:
Send spam, unsolicited messages, or unlawful communications
Violate privacy, advertising, or data protection laws
Transmit malicious code, malware, or harmful software
Infringe upon intellectual property or proprietary rights
Engage in fraudulent, deceptive, or abusive practices
We reserve the right to suspend or terminate access for violations.
Our Services may use cookies, tracking pixels, analytics tools, and similar technologies. Tracking technologies are used in accordance with our Privacy Policy and applicable consent requirements. You are responsible for obtaining any legally required user consent related to tracking and communications.
Where applicable, Humbear Media operates as a Business Associate under HIPAA and will only handle PHI pursuant to a valid Business Associate Agreement (“BAA”).
Use of HIPAA-regulated features without a signed BAA is prohibited. Humbear Media is not responsible for PHI entered or transmitted in violation of these requirements.
All content, software, designs, workflows, trademarks, logos, and materials related to the Services are owned by or licensed to Humbear Media and are protected by U.S. and international intellectual property laws. No rights are granted except as expressly stated.
The Services may integrate with third-party platforms (e.g., advertising networks, messaging providers, analytics tools). Humbear Media is not responsible for third-party services, availability, compliance, outages, or actions.
To the maximum extent permitted by law, Humbear Media shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational harm arising from or related to use of the Services.
Total liability, if any, shall not exceed the amounts paid to Humbear Media in the preceding twelve (12) months.
You agree to indemnify, defend, and hold harmless Humbear Media, its officers, directors, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses (including attorneys’ fees) arising out of or related to:
Your use or misuse of the Services
Your violation of these Terms
Your violation of any law, regulation, or third-party rights
We may update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
We reserve the right to suspend or terminate access to the Services at our discretion, with or without notice, for violations of these Terms or applicable laws.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
